User Software Terms & Conditions Agreement.

1. LICENSE GRANT

1.1 The Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your internal business operations in accordance with this Agreement. 1.2 You may not sublicense, distribute, modify, or create derivative works of the Software unless expressly permitted in writing by the Company.

2. RESTRICTIONS

2.1 You shall not:

• Reverse engineer, decompile, or disassemble the Software;

• Remove any proprietary notices or labels;

• Use the Software for unlawful or unauthorized purposes;

• Bypass any security features implemented by the Company.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 The Software, including all copyrights, trademarks, patents, and trade secrets, is owned by the Company or its licensors.

3.2 This Agreement does not grant you any ownership rights in the Software.

4. DATA PRIVACY AND SECURITY

4.1 The Company collects, processes, and stores data in accordance with its Privacy Policy.

4.2 You are responsible for maintaining the confidentiality of your account credentials and ensuring security measures are in place to protect access to the Software.

5. SUPPORT AND UPDATES

5.1 The Company may, at its discretion, provide updates, enhancements, or fixes to the Software. 5.2 The Company is not obligated to provide maintenance or support unless otherwise agreed in writing.

6. FEES AND PAYMENT

6.1 If the Software is provided under a paid subscription or license, you agree to pay all applicable fees as outlined in the pricing terms.

6.2 Failure to make timely payments may result in suspension or termination of access to the Software.

7. DISCLAIMER OF WARRANTIES

7.1 The Software is provided "as is" and "as available," without warranties of any kind, either express or implied.

7.2 The Company does not warrant that the Software will be error-free or uninterrupted.

8. LIMITATION OF LIABILITY

8.1 To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Software.

8.2 The Company’s total liability under this Agreement shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

9. TERMINATION

9.1 The Company may terminate this Agreement and your access to the Software at any time if you breach any provision of this Agreement.

9.2 Upon termination, you must cease all use of the Software and delete any copies in your possession.

10. ACKNOWLEDGMENT OF PILOT VERSION AND RESEARCH USE

10.1 You acknowledge that the Software is a pilot version and may require further improvements and development.

10.2 You understand and agree that the Software is being used for Research and Development purposes for Redemption Business Solutions.

10.3 The Company makes no guarantees regarding the completeness, accuracy, or functionality of the Software at this stage of development.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Pennsylvania, United States.

10.2 Any disputes arising under this Agreement shall be resolved through binding arbitration in Pennsylvania, except where prohibited by law.

11. GENERAL PROVISIONS

11.1 This Agreement constitutes the entire agreement between you and the Company regarding the Software.

11.2 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.3 The Company may modify this Agreement at any time, and continued use of the Software constitutes acceptance of the revised terms.
